3. Our services
We provide software development services centred on the ABP.IO Framework and ASP.NET Zero, including custom development, migration between frameworks, version upgrades, technical consulting, architecture review, and ongoing support. The specific scope, deliverables, timelines and fees for any engagement will be set out separately in a proposal, statement of work, or signed agreement ("Engagement Terms"). Where these general Terms & Conditions conflict with agreed Engagement Terms for a specific project, the Engagement Terms take priority for that project.
4. Quotes, estimates & payment
- Quotes and estimates provided via our contact form, email or calls are indicative and subject to confirmation in writing once we understand the full scope of your project.
- Payment terms, milestones, currency and any deposit requirements will be agreed in writing before work begins on a paid engagement.
- Late payment may result in suspension of ongoing work until outstanding invoices are settled, subject to any statutory rights you may have.
- Unless otherwise agreed, prices exclude taxes, duties and bank/transfer charges applicable in your jurisdiction, which remain your responsibility.
5. Client responsibilities
To deliver work on schedule, we rely on you to: provide timely access to relevant systems, credentials, documentation and test environments; respond to review requests within a reasonable time; and provide accurate information about your existing codebase, infrastructure and requirements. Delays caused by incomplete or late information may affect agreed timelines.
6. Intellectual property
Unless otherwise agreed in writing in your Engagement Terms, ownership of custom code we develop specifically for you transfers to you upon full payment for the relevant work. We retain ownership of our own pre-existing tools, frameworks, internal libraries, and general know-how, and may reuse non-client-specific components, patterns and utilities in other engagements. ABP.IO and ASP.NET Zero themselves remain the property of their respective owners; our services relate to development and consulting work using those frameworks, not the frameworks' own licensing, which you are responsible for holding where required.
7. Confidentiality
We treat information you share with us about your business, codebase and systems as confidential, and we will not disclose it to third parties except where necessary to deliver the engagement, where you authorise it, or where required by law. We are happy to sign a mutual non-disclosure agreement before a project begins if you require one.
8. Acceptable use of this website
You agree not to use this website in any way that could damage, disable or impair it, to attempt unauthorised access to our systems, to scrape or harvest content for commercial redistribution, or to use it to transmit unlawful, harmful or infringing material. We may restrict or terminate access for anyone who breaches this section.
9. Warranties & disclaimers
We provide our services with reasonable skill and care in line with good industry practice. Except as expressly stated in your Engagement Terms or required by law that cannot be excluded, we do not make any other warranties, express or implied, including as to merchantability or fitness for a particular purpose. 10. Limitation of liability
To the maximum extent permitted by applicable law, our aggregate liability arising out of or relating to a services engagement will not exceed the fees paid by you for the specific work giving rise to the claim, and we will not be liable for indirect, incidental or consequential loss (such as loss of profits, data or business opportunity). Nothing in these terms excludes or limits liability that cannot lawfully be excluded or limited in your jurisdiction — for example, liability for death or personal injury caused by negligence, or fraud.
11. Termination
Either party may terminate an ongoing engagement in line with the notice period agreed in the applicable Engagement Terms. On termination, you remain liable for fees for work completed up to the termination date, and we will provide reasonable assistance to hand over work in progress.
12. International customers (EU, UK & USA)
We welcome enquiries and clients from around the world, including the European Union, the United Kingdom and the United States. Nothing in these Terms is intended to remove any statutory consumer protection you are entitled to under the mandatory laws of your own country of residence. Where you are a consumer (rather than a business) protected by such laws, those protections apply in addition to these Terms.
13. Governing law
